Terms of Service

These Terms of Service (“Terms”) govern your access to and use of BeSocial (the “Service”), operated by Platform Talent Inc. (“we”, “us”, or “our”). By accessing or using BeSocial, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By visiting besocial.com or using any feature of the Service, you confirm that you are at least 13 years of age, have the legal capacity to enter into a binding agreement, and accept these Terms in full. We reserve the right to modify these Terms at any time. Continued use of the Service following any update constitutes acceptance of the revised Terms.

2. Description of Service

BeSocial is a free, publicly accessible directory of social media influencers, talent agencies, and creator economy tools. The Service allows:

• Brands to discover and contact creators and agencies
• Creators to claim and manage their public profiles
• Agencies to list their roster and services
• Users to access free tools for influencer research and analysis

The core directory is free to use. We reserve the right to introduce optional premium features in the future, which will be governed by separate pricing terms.

3. User Conduct

You agree not to use the Service to:

• Scrape or harvest data — automated collection of profile data, bulk downloads, or systematic extraction of the directory contents is strictly prohibited without our written consent
• Send spam — using contact forms or inquiry features for unsolicited commercial messages, phishing, or harassing communications
• Make false claims — submitting inaccurate information, fraudulently claiming profiles that do not belong to you, or impersonating any person or entity
• Interfere with the Service — circumventing security measures, overloading our infrastructure, or attempting unauthorized access
• Violate laws — any activity that violates applicable local, national, or international law or regulation

Violation of these conduct rules may result in immediate suspension of access and, where applicable, legal action.

4. Intellectual Property

Our property: The BeSocial design, codebase, brand, logo, and all original content we create are owned by Platform Talent Inc. and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our proprietary materials without written permission.

Listed data: Creator and agency profile data (names, bios, follower counts, images) consists of publicly available information sourced from social media platforms. We do not claim ownership of this data. Creators and agencies retain all rights to their original content and personal information.

5. User Submissions

When you submit content to BeSocial — including profile claims, inquiry messages, corrections, or any other data — you grant Platform Talent Inc. a non-exclusive, worldwide, royalty-free license to display, store, and use that content to operate the Service. You represent that you have the right to submit such content and that it does not violate any third-party rights. We reserve the right to remove any submission at our discretion.

6. Accuracy Disclaimer

BeSocial does not guarantee the accuracy, completeness, or timeliness of any information listed in the directory. Social media metrics (followers, engagement rates) are sourced from publicly available data and may be outdated or inaccurate. We make no representations about any creator's, agency's, or tool's suitability for any particular purpose. You use listed information at your own risk.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Platform Talent Inc. and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of revenue, loss of data, or business interruption — even if we have been advised of the possibility of such damages. Our total aggregate liability for any claims arising under these Terms shall not exceed $100 CAD.

8. Indemnification

You agree to defend, indemnify, and hold harmless Platform Talent Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

9. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any conduct that we determine, in our sole discretion, violates these Terms, is harmful to us, other users, or third parties, or for any other reason at our sole discretion. We may also remove any listing or profile from the directory at any time.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. You consent to the exclusive jurisdiction of the courts located in Ontario, Canada, for any disputes not subject to arbitration under Section 11.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered in Ontario, Canada, in accordance with the applicable arbitration rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized use of the Service.

12. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Platform Talent Inc. regarding your use of the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision shall not be considered a waiver of that right or provision.
